Version 1.1 · Effective 25 September 2026
These Terms are an agreement between SuvarnaMitra ("ProphetBird", "we", "us"), the provider of the SuvarnaMitra software ("the Software" or "the Service"), and the jewellery business that has been given an account ("the Shop") together with every person who signs in under that account ("you", "User"). By ticking "I agree" you accept these Terms on your own behalf and, if you are the owner, on behalf of the Shop. This is an electronic record under the Information Technology Act, 2000 and needs no physical signature.
.1 The Software is for registered jewellery businesses and their authorised staff only. Accounts are created by invitation; there is no public sign-up. 1.2 You must be at least 18 years old and legally able to enter a contract. 1.3 The owner is responsible for who is given a login, for the role each person receives, and for disabling logins of people who leave the Shop.
.1 We grant the Shop a limited, non-exclusive, non-transferable, revocable licence to use the Software for its own business during the subscription. 2.2 The Software — its code, design, logo, templates and documentation — and all intellectual property in it remain ours. You receive a right to use, not ownership. The source code is not provided.
.1 Copy, resell, sub-license, rent or share the Software or your login with anyone outside the Shop. 3.2 Reverse-engineer, decompile, modify or attempt to extract the source code. 3.3 Attempt to breach, test or bypass the Software's security, access another shop's data, or overload the Service. Such acts may also be offences under the Information Technology Act, 2000. 3.4 Use the Software for any unlawful purpose, including false invoices or tax evasion.
.1 The Shop owns its business data — stock, customers, bills, ledgers, gold-loan and repair records. We use it only to run the Service for you, as set out in the Privacy Notice and the Data Processing Addendum. 4.2 Backups. The Software provides a backup/export feature. You remain responsible for taking regular backups of your data. We take reasonable care of the data we hold, but we are not liable for loss caused by events outside our reasonable control (see §8). 4.3 Login security. You must keep your User ID and password confidential. Activity under your login is treated as yours. Tell us immediately if you suspect misuse.
.1 Fees are as agreed in the contract signed for your shop, and depend on your usage. Renewal (subscription or Annual Maintenance Charge — AMC) must be paid on time. 5.2 If fees remain unpaid after the due date and a reminder, we may suspend the Service temporarily; if unpaid for 15 days after suspension, we may terminate it. During suspension you will still be able to request an export of your data. 5.3 Fees once paid are non-refundable, except where the law requires a refund or we have failed to provide the Service.
.1 Technical support is available during Monday–Saturday, 10:00 AM – 6:00 PM IST. 6.2 We will update the Software for changes in government rules that affect billing (for example GST rates or hallmarking/HUID rules). Major new modules may carry an additional fee, which we will tell you before you are charged.
.1 The Software calculates from the values you enter. Before finalising any bill, estimate, voucher or report, the person creating it must check gold and silver rates, weights, purity, making charges, wastage and taxes (GST). Even where rates are updated automatically, the operator's check and any manual override are final and are the Shop's responsibility. 7.2 Gold loan / girvi module. This module is a record-keeping tool only. Holding a money-lending licence, and complying with the Maharashtra Money-Lending (Regulation) Act, 2014 (or the law of your State), interest limits and pledge rules, is entirely the Shop's responsibility. 7.3 The Software does not give legal, tax or financial advice. Consult your CA or lawyer on compliance.
.1 The Software is provided "as is" and "as available". We do not promise it will be uninterrupted or error-free. 8.2 We are not liable for losses arising from internet or power failure, a virus or fault on your device, misuse or incorrect entry, or events beyond our reasonable control. 8.3 We are not liable for indirect or consequential loss, including loss of profit, business or goodwill. 8.4 Our total liability for any claim is limited to the fees the Shop paid us in the 12 months before the claim arose. 8.5 Nothing in this section limits liability that cannot be limited under Indian law, including our obligations under the Digital Personal Data Protection Act, 2023.
.1 We may suspend or close an account, with notice where practicable, if these Terms are seriously breached, if required by law, or to stop a security threat. 9.2 The Shop may stop using the Service at any time by written request. 9.3 On termination, the Shop may request an export of its data within 15 days. After that we delete it, except what the law requires us to keep (see the Privacy Notice, §B.7).
.1 We may update these Terms. For a material change we will notify the owner by email or in the app at least 15 days before it takes effect, and ask every User to accept the new version before continuing. Continued use without accepting is not possible.
.1 These Terms are governed by the laws of India. 11.2 Parties will first try to settle a dispute by discussion within 30 days. Failing that, the courts at Sangli, Maharashtra have exclusive jurisdiction.
